Inspiring® Terms and Conditions

1. Introduction

Welcome and thank you for your interest in Inspiring®! You are reviewing these Inspiring® Terms and Conditions (“T&C”) because you are using, or have purchased, or are considering purchasing or using, the Inspiring® Services (the “Inspiring® Services“), consisting of a smart ring or other electronic devices (the “Inspiring® Device“) and the Inspiring® mobile application (the “Inspiring® App“).

The Inspiring® Services are offered by Euron Connect AS hereinafter referred to as “Euron Connect”, “we”, “us” or “our”, with business registration number 932 912 260 and address Ensjøveien 18, 0661 Oslo, Norway.

By using the Inspiring® Services and accepting these T&C a binding contract is concluded between you and Euron Connect. If you do not agree to these Terms of Use, you may not use the Inspiring® Services and should not purchase the Inspiring® Services.

2. Requirements for Access and Use

You are granted a limited license to use the Inspiring® Services subject to these T&C, and any other rules and requirements communicated to you by Euron Connect. Euron Connect may modify, update, and otherwise change the Inspiring® Services at any time and in its sole discretion. All changes will be posted on our website www.inspiring.no and on the Inspiring® App.

You represent and warrant that you are aged 18 years or older and have the legal authority to accept these Terms of Use on your own behalf or any party you represent. Please also carefully review to the Precautions section in these T&C.

You may not use the Inspiring® Services for any purposes beyond what is permitted in these T&C. You cannot at any time, directly or indirectly, and cannot permit any third-party to: (i) copy, modify, or create derivative works of the Inspiring® Services, in whole or in part; (ii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any Inspiring® Services, in whole or in part; or (iii) use the Inspiring® Services in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that otherwise violates any law, regulation, or other legal requirement.

Purchases are intended for you as the end user only and are not authorized for resale, without Euron Confect’s authorization. We reserve the right to refuse or cancel your order if we suspect you intend not to adhere to these T&C.

The full Euron Connect experience requires the Inspiring® Device, Internet access to the Inspiring® App and Website, and other required software (if any). Periodic updates to any of these elements may be required for improved performance, and the overall performance of the whole may be affected by the performance of any of these elements. You are responsible for obtaining your own Internet access and mobile device to access the Inspiring® Services.

Euron Connect shall have no responsibility for any data loss or other damage or loss suffered in connection with your use of the Inspiring® Services, including any failure to provide adequate security or backup devices or services.

Nothing contained in these T&C shall be construed as granting, any right, title, or interest to any intellectual property, including any (i) inventions (whether patentable or not in any country), patents, patent applications, invention disclosures, improvements, trade secrets, proprietary information, know how, information, or technical data; (ii) copyright protected works, copyright registrations, mask works, mask work registrations, or applications anywhere in the world; (iii) trademarks, trademark registrations, service marks, logos, or applications therefor anywhere in the world; (iv) trade secrets; or (v) any other tangible or intangible proprietary rights anywhere in the world.

You acknowledge and agree that at times the Inspiring® Services may be inaccessible or inoperable for any reason whatsoever, including, without limitation: (i) equipment malfunctions; (ii) periodic maintenance procedures or repairs which Euron Connect may undertake from time to time without notice to you; or (iii) causes which are beyond the control of Euron Connect or which are not reasonably foreseeable.

Euron Connect may from time to time and in its sole discretion engage other service providers to assist in the performance of the Inspiring® Services, and you will be bound by the terms of use and other requirements of such third parties.

All rights in the Inspiring® Services not expressly granted to you by Euron Connect are retained by Euron Connect and its licensors. Violation of any of these TC gives Euron Connect the right at its sole discretion to refuse or terminate access to the Inspiring® Services effective immediately. In such an event you are obliged to immediately destroy any copies you have made of any portion of the Inspiring® Services.

You may propose to Euron Connect modifications or improvements to all or any part of the Inspiring® Services. By choosing to disclose such proposal to Euron Connect, you hereby grant Euron Connect all title and ownership and intellectual property rights to such proposal.

3. Customer Responsibilities

You are responsible and liable for your use of the Inspiring® Services.

You are responsible for ensuring Euron Connect has accurate and current information for your customer account.

You are responsible for using the Inspiring® Device, the Inspiring® App as well as other the Inspiring® Services as informed by us on our website, in example our Caring for your Inspiring® and Charging Your Ring & Best Practices – Inspiring®.

Euron Connect shall make commercially reasonable efforts to provide support for the Inspiring® Services.

4. Payment and returns

You will be presented with the full price in local currency including VAT and shipment (freight costs from our storage facility) to your address when you purchase the Inspiring® Device from us. You are responsible for providing your correct address when ordering the Inspiring® Device from us. Shipping details will be provided during the checkout process. As a customer, you will have the option to choose from various delivery methods for your package.

Our Inspiring® Smart Ring Return Policy contain the terms and conditions for returns of such Inspiring® Device you have ordered from us.

5. Subscriptions

There is no subscription fee related to the use of the Inspiring® App or other Inspiring® Services. The specific terms must be read and confirmed accepted before using such services. In case of conflict with these T&Cs, the specific terms for the Inspiring® App or other Inspiring® Services will prevail.

6. Intellectual Property Rights

The “Inspiring” trademark and all content in the Inspiring® App, and the underlying technology are protected by copyright, trademark, patent, design, and other laws (“Intellectual Property Rights”) in Norway and the world. All rights are explicitly reserved.

7. Warranty Disclaimer

Except for the limited warranty set out below, the Inspiring® Services are provided by Euron Connect and its affiliates “As is.”

Neither Euron Connect partners, suppliers, or affiliates make any representations or warranties of any kind, express or implied, as to the operation of the Inspiring® Services (Including the ring), its contents, or any information made available by or through the Inspiring® Services. In addition, Euron Connect and its partners, suppliers and affiliates disclaim all warranties with respect to the Inspiring® Services (Including the ring), express or implied, including but not limited to the implied warranties of merchantability, title, fitness for a particular purpose and non-infringement. Furthermore, Euron Connect does not warrant that use of the Inspiring® Services will be uninterrupted, available at any time or from any particular location, secure or error-free, that defects will be corrected, or that the Inspiring® Services (Including the ring) are free of viruses or other potentially harmful components.

Euron Connect provides a limited warranty for the Inspiring® Device and guarantees that the ring is free from defects in material and workmanship for two (2) years from the date of first purchase. If local law in effect at the time of purchase requires a warranty period longer than two (2) years, this warranty shall be extended to the extent required by such law.

Within the warranty period, Euron Connect shall repair or replace at no charge, any components of the ring that fail the limited warranty provided. You shall be responsible for any related transportation charges.

Replacement products may be new or refurbished at our discretion. This limited warranty does not apply to (i) normal wear and tear, including scratches and dents; (ii) consumable parts included in ring such as batteries, unless product damage has occurred due to a defect in materials or workmanship; (iii) damage resulting from your failure to use the ring in accordance with the instructions accompanying the ring or available at our website; (iv) damage resulting from an accident, flood, fire, misuse, or abuse; (v) damage resulting from service performed, or damage resulting from tampering or alterations to the ring, by anyone not authorized by Euron Connect; or (vi) use of the ring with any other application or software than the Inspiring® mobile app.

Euron Connect retains the exclusive right to repair or replace the ring, or offer a full refund, at its sole discretion. Such remedy shall be your sole and exclusive remedy for any breach of warranty. Warranty repairs and replacements have a new warranty which is the longer of ninety (90) days or the balance of the original two-year warranty.

8. Limitation of Liability

In no event will Euron Connect or any of its affiliates be liable for indirect, incidental, punitive or consequential damages (Including without limitation those resulting from lost profits, lost data or business interruption) arising out of the use, inability to use or the results of use of the Inspiring® Services, whether such damages are based on warranty, contract, tort or any other legal theory and whether or not Euron Connect has been advised of the possibility of such damages.

The aggregate liability of Euron Connect, arising from or relating to the Inspiring® Services is limited to the original purchase price of the Inspiring® Device. If applicable law does not allow the limitations described above, such limitations will apply to the maximum extent allowed by such applicable law.

9. Precautions

Please note that the Inspiring® Services are not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The information and guidance in the Inspiring® Services are there for informational purposes only and cannot replace the services of health professionals or physicians.

Always consult a physician before making any changes to your sleep or activity based on information or guidance of from the Inspiring® Services, or if you have any questions regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on or through the Inspiring® Services. We are not responsible for any health problems that may result from information or guidance you learn about through the Inspiring® Services.

If you make any change to your sleep or activity based on the Inspiring® Services, you agree that you do so fully at your own risk. It is important to be sensitive to your body’s responses. For example, if you feel unexpected, repeating or long-term pain, fatigue or discomfort due to having made changes to your sleep or activity, it is recommended that you consult a physician before continuing with such changes.

The information and guidance in the Inspiring® Services may be misleading if your physiological functions and responses differ significantly from population averages due to medical conditions or rare natural differences.

If you experience redness or skin irritation on your finger due to the product, remove it immediately. If symptoms persist longer than 2-3 days of not using your Inspiring® Device, please contact a dermatologist or healthcare professional.

10. Indemnity

You agree to defend, indemnify and hold Euron Connect and its partners, affiliates, service providers, licensors, officers, directors, employees and agents harmless from and against any claims, actions or demands, including but not limited to reasonable legal and accounting fees, alleging or resulting from: (a) your violation of these Terms of Use; or (b) your violation of Euron Connect intellectual property rights, any third party rights or any applicable law when using the Inspiring® Services.

11. Termination; Cancellation

Your non-exclusive right to use the Inspiring® App or other Inspiring® Services will last for the lifespan of the device. Both your and our rights of termination and cancellation are governed by the specific terms for the Inspiring® App or other Inspiring® Services.

12. Governing Law and dispute resolution

Any action related to these T&C the Inspiring® Services, and your relationship with Euron Connect shall be governed by, construed, and interpreted in accordance with the laws of Norway without regard to its conflict of laws principles. Any disputes between you and us shall be decided by the ordinary courts of Norway, and any dispute that is not solved amicably shall be submitted under the jurisdiction of the Oslo District Court (Oslo tingrett).

13. Miscellaneous

You acknowledge that Euron Connect has the right to monitor use of the Inspiring® Services to ensure compliance with the T&C.

If any provision of these T&C is determined to be illegal or unenforceable, then such provision will be enforced to the maximum extent possible, and the other provisions will remain fully effective and enforceable.

The T&C and the Privacy Policy constitute the complete and exclusive statement of the agreement between you and Euron Connect regarding the Inspiring® Services.

In the case of any conflict between the English language version and translations in other languages, the English language will control, unless and except as required by applicable local law.
